Position: Assistant Manager – Legal & Commercial – Solar EPC & Energy Projects
Location: Gurgaon
Ideal Experience Range: 3–7 years PQE (Post Qualification Experience)
About the Company
We are a growing Solar EPC and infrastructure company engaged in ground-mounted, rooftop, floating and open access solar projects, solar park development, and CAPEX/OPEX (Energy-as-a-Service) models through project SPVs.
Role Overview
The role requires strong expertise in infrastructure contracts, land laws, commercial agreements and corporate transactions, acting as an in-house commercial legal partner to business, projects and finance teams to ensure robust structuring and effective risk mitigation. Preparing, reviewing and negotiating all legal documentation required across project, corporate and transaction lifecycle.
Key Responsibilities
1. Project & Commercial Contracts
· Drafting, vetting and negotiating EPC, O&M, vendor/sub-contractor agreements, PPAs (captive, group captive, open access, third-party sale), Energy-as-a-Service, Solar Park and utility/evacuation agreements
· Structuring CAPEX/OPEX documentation and ensuring appropriate risk allocation, including LD/PLD, indemnities, limitation of liability and force majeure provisions
· Aligning client contracts with back-to-back vendor/subcontractor protections
· Advising bid and procurement teams on contractual risk exposure
2. Regulatory & Grid Interface
· Handling legal correspondence and representations before DISCOMs, STU/CTU, SLDC and other regulatory authorities
· Reviewing and negotiating grid connectivity, evacuation, transmission, bay construction, PSS/GSS, transmission line and Right of Way (ROW) agreements
· Advising on open access and captive/group captive structures, including compliance under the Electricity Act, 2003 and applicable SERC regulations
· Providing legal inputs on net/gross metering, banking, wheeling & transmission charges, cross-subsidy surcharge (CSS) and related regulatory obligations
· Handling documentation required for project approvals and compliance
3. Land & Infrastructure
· Coordinating land due diligence and title verification with external counsel (agricultural / non-agricultural)
· Reviewing land acquisition/lease documentation, ROW, easements, wayleave and transmission infrastructure permissions (including underground/overhead lines)
· Advising on statutory approvals relating to PSS/GSS, bay allocation, substation integration and other project execution requirements
4. EPC Execution, Procurement & Commissioning
· Vetting vendor contracts, purchase orders, supply and subcontract documentation
· Structuring LD clauses, performance guarantees, defect liability and milestone-linked payment terms
· Supporting installation, commissioning, performance testing and project completion documentation
· Advising on delay claims arising from grid, regulatory, land or force majeure events
5. Corporate, Finance & Transactions
· Drafting and reviewing SPAs, SHAs and asset/business transfer agreements
· Assisting in SPV structuring, inter-company arrangements and corporate guarantees
· Reviewing loan agreements and security documents including finance lease documentation (pledge, hypothecation, mortgage)
· Supporting due diligence for investors, lenders and strategic transactions
· Coordinating with lenders and external counsel for transaction documentation
6. Labour & Site Risk Advisory
· Reviewing labour contractor and manpower agreements
· Advising on contractual risk relating to workforce, accident liability and indemnity protection
· Providing legal oversight on labour law exposure applicable to EPC sites (without handling routine compliance execution)
Candidate Profile
· LLB from recognized university
· 3–7 years of experience (preferably in infrastructure / energy / EPC / real estate law)
· Prior experience in drafting commercial agreements independently
· Understanding of Companies Act, Contract Act, Transfer of Property Act
· Knowledge of power sector laws / electricity regulations preferred
· Strong negotiation and drafting skills
· Commercially practical and solution-oriented mindset
